What is DBD Order No. 2/2569 on foreign-investment company registration?
From 1 August 2026, Thailand's Department of Business Development requires that when a company with foreign co-investors or foreign signing authority is registered — or later amended — the applicant files an investment-explanation letter plus three months of bank statements from both the Thai investor who paid in the capital and the recipient, to show the investment is real. It is an administrative tightening to stop nominee structures at the registration stage, not a change to who may own what.
- Effective 1 August 2026; applies to registering and later amending companies with foreign co-investment or foreign signing authority.
- Requires an investment-explanation letter and 3 months of bank statements (Thai investor and recipient) to verify real investment capacity.
- A related order (No. 1/2569, March 2026) already required co-investors to confirm genuine investment.
- For a buyer, a legitimate developer's registration is now better documented — and easier to sanity-check.
